General Terms and Conditions of Sale

1. Scope

These General Terms and Conditions of Sale and Use (GTC) govern access to, use of, and subscription to services offered by the Biloki platform. They apply to any user, professional or individual, without restriction or reservation.

2. Acceptance and contractual documents

  • Creating an account, activating a property, or subscribing to a plan constitutes full and unconditional acceptance of these GTC.
  • The contractual documents are these GTC, the Legal Notice, the Privacy Policy, and, where applicable, the Traveler Terms of Use.
  • In case of conflict, the GTC prevail over any non-contractual document (commercial presentation, marketing materials, etc.).

3. Biloki's role

  • Biloki acts solely as a technology platform publisher.
  • Biloki is neither a concierge service, nor a property manager, nor an agent.
  • Biloki is not a party to contracts concluded between travelers, owners, concierges, or service providers.
  • No mandate, subordination, de facto company, or representation relationship can be inferred.

4. Description of services

  • An AI conversational agent dedicated to the stay.
  • Automation and scheduling tools.
  • Coordination interfaces (concierge / owners / service providers).
  • API connections with third-party services depending on subscribed offers. Services are provided as-is, under a best-efforts obligation.

5. Third-party services (OTA / PMS / API / connected devices)

  • Certain features depend on third-party services (OTA, PMS, channel managers, smart locks, cloud providers, etc.).
  • Biloki cannot be held liable for malfunctions, interruptions, changes, limitations, or removal of these third-party services.
  • The Client is responsible for configuration, compatibility, and maintaining subscriptions and access rights with these third parties.
  • These third-party services may impact the Client's operations, organization, or revenue.

6. Access – account – security

The Client is responsible for keeping credentials confidential, the accuracy of information entered, and actions taken from their account. Any use via the account is deemed to be performed by the Client.

7. Suspension – deactivation

Biloki reserves the right to refuse access, suspend, or immediately deactivate any account or property without prior notice or compensation, in particular in case of non-compliance with the GTC, non-payment, abusive use, or legal, regulatory, technical, or reputational risk.

8. Financial terms

8.1 Price: applicable prices are those in effect at the time of subscription. 8.2 Billing per active property: services are billed per active property, regardless of number of bookings, occupancy rate, or actual use. 8.3 Annual payment – firm, final, non-refundable clause: the annual amount is due immediately and in full, with no refund possible. 8.4 Non-payment: suspension of services and immediate payment of amounts due, with statutory penalties. 8.5 Right of withdrawal: applicable to consumers under the law, not applicable to professionals, unless mandatory law provides otherwise.

9. Term – termination

  • 9.1 Termination by the Client: termination takes effect at the end of the current period, with no refund, including for annual subscriptions.
  • 9.2 Termination by Biloki: possible at any time in case of breach of the GTC or identified risk, without compensation.
  • 9.3 Effects of termination: access removed, automations disabled, data deleted subject to legal obligations.

10. AI & automation specific clauses

The Client acknowledges that AI responses and actions rely on automated and probabilistic rules, may be incomplete or unsuitable, and that final decisions are exclusively the Client's. Automations do not remove the duty to supervise.

11. Liability (maximum limitation)

Biloki's liability is excluded for disputes between travelers and owners, field service failures, financial losses, administrative sanctions, or reputational damage. Biloki is not liable for any indirect damage. Total liability is capped at the net amount collected over the last twelve months.

12. Warranty / indemnification by the Client

  • The Client shall guarantee and indemnify Biloki against any claim resulting from the use of the services.
  • The Client guarantees the accuracy of information provided to travelers and service providers.
  • The Client guarantees compliance with applicable laws and third-party rights (content, settings, data).

13. Intellectual property

  • The platform, AI agent, algorithms, interfaces, databases, trademarks, logos, and content are the exclusive property of Biloki.
  • Any reproduction, representation, extraction, or reuse is strictly prohibited.
  • Any attempt at reverse engineering, decompilation, or circumvention is prohibited.

14. Personal data

Personal data are processed in accordance with the Privacy Policy published by Biloki.

15. Confidentiality (if applicable)

Each party undertakes to keep confidential any non-public information exchanged in connection with use of the services, except where required by law.

16. Force majeure

Biloki shall not be liable in case of force majeure or events beyond its control (network outages, hosting providers, cyberattacks, administrative decisions, etc.).

17. Survival of clauses

Clauses relating to payment, liability, intellectual property, data, confidentiality, applicable law, and jurisdiction survive termination.

18. Applicable law – jurisdiction

These GTC are governed by French law. Any dispute falls under the exclusive jurisdiction of the courts where Biloki's registered office is located, unless mandatory legal provisions provide otherwise.
